1. THE CONTEST

General

The Bet Night Live HPI contest (the “Contest”) is an online horse racing contest. This contest is sponsored by Woodbine Entertainment Group (the “Contest Sponsor”). This contest is a game of skill designed to test one’s ability to predict the performance of various standardbred and thoroughbred horses in competition with other contest participants.

The contest will be held online at www.HorsePlayerInteractive.com (the “website”). The contest participant (“Contestant”) will be required to wager using real money through a valid HorsePlayer Interactive (“HPI”) wagering account (the “Account”). The Contestant who has the highest winnings (“Winnings”) by the close of the contest, in accordance with the Scoring System below, will be declared the winner.

Contest Period

The contests will run every Monday and Wednesday night starting at 7pm from May 31 – November 29, 2010 (the “Contest Season”) in conjunction with the Woodbine Entertainment Group live race coverage on The Score television network. Note: The November 24 & 29 contests are Championship contests (as outlined in Section 6).

Each contest during the season is run as an independent contest. Monday night contests involve races 2-5 of the Woodbine/Mohawk standardbred race card and Wednesday night contests involve races 2-5 of the Woodbine thoroughbred race card (the “Contest Card”). In the event that the Contest Sponsor cancels the live race card on a contest night, or the Bet Night Live program on The Score is pre-empted, that night’s contest will be cancelled. The Contest Sponsor will do it’s best to provide advance notice of cancelations however, they may occur at any time prior to or during the show, and the Contest Sponsor will have no liability for any such cancellations.


2. ELIGIBILITY

All Contestants must be at least 18 years of age and possess a valid HPI wagering account in order to participate in the contests. The Contest is not open to employees and representatives of the Contest Sponsor including their respective subsidiaries, sponsors, promotional agencies and members of the immediate families of such employees or representatives and persons with whom such employees and representatives are domiciled. Quebec residents are not eligible to participate in the contests.

New HPI members who join HPI (HPI is free to join) by clicking on the link indicated on the contest “How To Play” page are eligible to play the first contest free (a $24 bonus deposit will be made to the Contestant’s HPI account that can be used to play the next contest). Only HPI members who join by clicking on this link are eligible for this special promotion. Please note the following regarding when the bonus deposits will be made to new HPI accounts:
New eligible HPI members who join between May 17-30, 2010 will receive the bonus deposit to their HPI account on May 31, 2010, which is the day of the first contest. New eligible HPI members who join on or after May 31 will receive the bonus deposit within minutes of activating the new HPI account, assuming that the account was successfully set-up through the automated online sign-up process. In the event that the automated online sign-up process fails and the account needs to be set-up by an HPI administrator, the bonus deposit will be made to the account within 72 hours of being received by the HPI administrator.

The Contest Sponsor may cancel this promotion at any time.


3. HOW TO ENTER THE CONTEST

Contestants must be an HPI member in order to participate in the contests. Contestants must have a minimum of C$24 (the “Bankroll”) in their HPI account at the start of each contest. The C$24 bankroll will be used for the purpose of wagering into live pools during the contest as per Section 4: How to Play, and any resulting net Balance is the property of the Contestant at the end of the contest.

To enter, each Contestant must first register online at www.HorsePlayerInteractive.com. From the HPI homepage, Contestants must click on the Bet Night Live link to get to the Bet Night Live contest home page and then must follow the instructions to register for the contests. Only one registration is permitted per HPI account. Only one registration is required for the entire Contest Season. Upon registration, Contestants will select a unique User Name that will be displayed on the Leaderboard during the contests. The Contest Sponsor reserves the right to disqualify Contestants who use profanity in their User Name.

Registering for the contests signifies the Contestant’s acceptance of the Official Rules and conditions stated herein and signifies Contestant’s agreement to release and hold harmless the Contest Sponsor, and those associated with Contest Sponsor, from any liability in connection with this Contest.


4. HOW TO PLAY THE CONTEST

Contest Start & End Times

The official start time (the “Start Time”) of each contest will be the cut-off of betting for the 2nd race and the contest will run through to posting of the official results of the 5th race (the “End Time”) for the Contest Card. While Contestants can enter the contest after the Start Time, they will only be able to wager a maximum of $6 for each of the remaining contest races. Contestants are not permitted to “bank” money not spent on previous contest races.

Playing the contest

Contestants must place their contest wagers online using the HPI online wagering platform using a C$24 Bankroll from their valid HPI account.

Contestants will use the funds in their HPI account to make real Win, Place, Show, Exactor, Triactor or Superfecta bets (to learn more about these bet types go to the “How to Bet” contest page of the website) totalling $6 for each race of the contest for a total of $24. There is a minimum wager amount of $1 for a $.20 Superfecta bet and $2 for all other bet types, and a maximum wager amount of $6 per race. The contest maximum total amount of bets is $24 (4 races x $6/race = $24).

To bet, Contestants can get to the HPI wagering platform from the Bet Night Live contest pages by clicking on the “I’m Ready To Bet!” button on the left-hand side of the contest pages. Once a Contestant has clicked the button indicated above they will automatically be taken to HPI. Once the Contestant is on HPI they should ensure that the track being displayed is Woodbine/Mohawk standardbred (Monday contests) or Woodbine Thoroughbred (Wednesday contests) as only these tracks are eligible towards the contest. To further identify contest tracks, a [trophy icon here] will appear next to contest-eligible tracks. In the event that the default track on HPI is any track other than those indicated above, Contestants can get to the desired contest track by clicking on the appropriate track name in the Today’s Tracks column on the left-hand side of the page. Once the appropriate track has been chosen the Contestant can then click on the “Place Bet” icon to continue to build their contest bets.

Once a Contestant has built their bet in the system they must ensure that they have checked the box that indicates to “Apply this wager to the Contest” before confirming their wager. Once the Contestant’s bet has been confirmed online, their Bankroll will be reduced by the amount of the bet and they will receive a message stating that their bet was applied towards the contest. All confirmed contest bets will automatically be submitted through the tote system, complying with the Pari-Mutuel Betting Supervision Regulations set forth by the Canadian Pari-Mutuel Agency (CPMA).

All bets and payouts are real and unofficial Leaderboard standings will be displayed on the website following each race and updated after each contest race has run. The Leaderboard standings are unofficial until 48 hours after the End time of each contest.

Contestants may cancel any or all contest bets before the post-time for each race. The cancelled bet funds will be credited back to the Contestant’s bankroll for use in another contest bet. N.B. Contestants must cancel contest bets from the HorsePlayer Interactive website only. Cancelling the bet from another location (e.g. Teletheatres, racetrack) will not cancel the contest bet and may result in disqualification from the contest.

Scratches & Pool Refunds

In the event of a Scratch after betting on the contest race has closed, the money bet on the scratched horse will be refunded back to the Bankroll. However, the refunded amount will not be able to be re-bet in a future race of the contest. Therefore, if a Contestant notices that a horse is scratched in a race prior to the post time for that race, it is in the Contestant’s best interest to cancel that wager online and re-place a new contest bet for that race before the race goes off.

In the event that a pool is refunded, the money bet on that pool will be refunded back to the Contestant’s Bankroll. However, the refunded amount will not be able to be re-bet in a future race of the contest.


5. SCORING

 The contest scoring system is based on actual pari-mutuel wagering payouts for bets placed during the contest, as reported by the Contest Sponsor. These payouts are based on the Contest Sponsor’s commission rates for all participating regions across Canada. As a result, in regions where commission rates are different than the Contest Sponsor’s, the contest score may not match your real Tote bet payout.

Scoring Example: If a $2 Win bet pays C$4.25 in the Tote system, then 4.25 will be shown on the Leaderboard as the Contestant’s score for that bet (the “Score”). Each winning bet thereafter will be added to this score (see Section 7: Leaderboard & Standings). There are no caps on payouts. Entries and fields are considered a single wagering interest, as defined under the regulations of the CPMA.


6. LEADERBOARD & STANDINGS

The Leaderboard Score totals reflect Winnings only (which, as indicated above, are based on the Contest Sponsor’s commission rates). These Winnings are separate from the Bankroll and will not be added back to the Bankroll for future wagers in the contest.

Provisional standings on the Leaderboard will be updated after each race. The Leaderboard displaying the Contestant’s Username and Score will be posted and updated after each contest race has been processed. All Leaderboard standings are unofficial until 48 hours after the End Time of each contest to allow for the unofficial results to be audited for accuracy prior to being deemed official.

Only when the standings have been audited and deemed official after the 48 hour audit period will any prizing be awarded.


7. WINNERS & PRIZES

Nightly Contest Prizing

The 3 contestants with the highest Winnings on the contest Leaderboard at the end of the nightly contest are eligible to win a share of the prize pool (the “Prize”).

Contestant’s Scores will be ranked from the highest Winnings to the Winnings at the End Time of the contest and displayed on the Leaderboard on the contest website. Unofficial winners will be designated as the top three (3) eligible Contestants with the highest overall Winnings at the End Time of the contest. Results will become official 48 hours after the completion of the contest and the Prizes will be deposited to the winners’ HPI account no later than 72 hours after the End Time of the contest.

The Prize Pool will be divided as follows in order to finish based on the highest final Winnings at the end of the contest: 

1st place = $600 (plus earns a seat in the Bet Night Live HPI Championship contest)
2nd place = $300
3rd place = $100

Ties (nightly contests)

In the event of a tie during the nightly contests, the prize money for the tied positions will be combined and divided equally amongst the Contestants involved in the tie.
e.g. – If 2 contestants are tied for 1st place, then the 1st & 2nd place prize amounts will be combined and each of the Contestants involved in the tie will receive $450 and the 3rd place finisher will receive $100.

All Contestants involved in a tie for 1st place will earn a seat in the Bet Night Live HPI Championship contest, as outlined below.  

Bet Night Live HPI Championship contest

The first (1st) place finisher(s) from each of the nightly Bet Night Live HPI contests will earn a seat in the Bet Night Live HPI Championship contest (the “Championship”). The Championship will be a 2-night event, taking place on November 24 & 29. The Contestant with the highest Score over the course of the 2-night event will be declared the Champion and will earn a seat in the 2011 $1 million Daily Racing Form/NTRA National Handicapping Championship that will be held in at the Red River Casino, Resort & Spa in Las Vegas on January 28 & 29, 2011 (more details are below). In the event that the winning Contestant cannot attend the event in Las Vegas or declines the prize, the 2nd place finisher will be awarded the Grand Prize.

The 2nd place finisher in the Championship event will earn a $2,000 Prize and the 3rd place finisher will earn a $1,000 Prize. Deposits will be made directly to the winning Contestant’s HPI account following the 72 hour audit period.

Ties (Championship contest)

In the event of a tie at the end of the 2-night Bet Night Live HPI Championship contest, the Grand Prize winner will be determined by a random draw that will be conducted at the Woodbine Entertainment Group administration office in Toronto on December 1, 2010.

Championship Grand Prize -- 2011 $1 million Daily Racing Form/NTRA National Handicapping Championship

The top finisher of the combined 2-day Championship will earn a seat in the 2011 $1 million Daily Racing Form/NTRA National Handicapping Championship that will be held in at the Red River Casino, Resort & Spa in Las Vegas on January 28 & 29, 2011.

Grand Prize includes registration fees & bankroll for the National Handicapping Championship, airfare, and accommodation (to be selected by the Contest Sponsor) for the Contest winner only.  The approximate retail value of the Grand Prize is $7,000.


8. GENERAL TERMS AND CONDITIONS

By accepting a prize, the winner agrees to waive all recourse against the Contest Sponsor, and those associated with the Contest Sponsor, relating to winner’s participation in the Contests, acceptance or use of the prize, including if the prize (or a component thereof) does not prove satisfactory, either in whole or in part.
The Sponsor reserves the right to terminate, withdraw or modify these Contests at any time without prior notice. If for any reason in the opinion of the Contest Sponsor, in their sole discretion, the Contest is not capable of running as planned or if the administration, security, fairness, integrity, or proper conduct of the Contest is corrupted or adversely affected, including by reason of infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond their control, the Contest Sponsor reserves the right at any time without prior notice to withdraw, cancel, terminate, amend, modify or suspend the Contest, including cancelling any method of entry, and selecting a winner from previously received eligible entries. The Contest Sponsor reserves the right in its sole discretion to disqualify any individual they find to be tampering with the entry process or the operation of the Contest or to be acting in violation of these Official Rules or otherwise in a disruptive manner. The Contest Sponsor reserves the right to modify the Official Rules of this Contest without materially affecting the terms and conditions of the Contest. All decisions of the Contest Sponsor with respect to any aspect of this Contest, including without limitation the eligibility of entries, will be final and binding.

If a tote system or Leaderboard malfunction occurs during the Contest, the Contest will be terminated.

HorsePlayer Interactive is not responsible for shut outs or incomplete transactions. No exceptions under any circumstances.

No Liability

All entries become the property of the Contest Sponsor and will not be returned. The Contest Sponsor assumes no responsibility for lost, late, delayed, destroyed or misdirected mail or e-mail or any computer errors or malfunctions. The Contest Sponsor shall not be held responsible for any errors or negligence that may arise or occur in connection with the Contest. The Contest Sponsor also does not assume any responsibility for incorrect or inaccurate capture of entry information, technical malfunctions, human or technical error, seeding or printing errors, lost, delayed or garbled data or transmissions, omission, interruption, deletion, defect or failures of any telephone or computer line or network, computer equipment, software (including on account of traffic congestion on the Internet or at any web site) or any combination thereof. Entry materials/data that have been tampered with or altered are void. If, for any reason, the on-line portion of the Contest is not capable of running as originally planned, such as tampering or infection by computer virus, the Contest Sponsor at its sole discretion, reserves the right to cancel the Contest. The Contest Sponsor shall not be held responsible for any errors or negligence that may arise or occur in connection with the Contest including any injury or damage to an entrant's computer equipment, system, software or any combination thereof, relating to or resulting from the participation or downloading of any materials in this Contest.

Prizes

The odds of winning any prize depend on the number of eligible entries received and the prognostication skills of the entrants. The Contest Sponsor and its affiliates extend absolutely no representations or warranties in respect of any prizes and accept no liability arising in respect of such prizes. All prizes must be accepted as awarded with no substitutions. Winners are responsible for any federal, provincial and local taxes levied on the prizes. Prizes will be deposited directly to the same HPI account that the Contestant used to enter the contest.

Skill Testing Question and Release

The Grand Prize winner will be contacted by telephone or email and, notwithstanding anything in these Official Rules, before being declared an official Grand Prize winner, will be required to: (i) correctly answer, unaided, a time-limited, mathematical skill-testing question, to be administered by telephone, and (ii) sign and return within forty-eight (48) hours a standard declaration and release form stating that he/she has read, understood and complied with these Official Rules, grants all consents required as contemplated in these Official Rules, is eligible for and accepts the prize as offered, and releases the Contest Sponsors and their respective affiliates and each of the directors, officers and employees thereof from any and all liability of any kind arising out of the entrant's participation in this Contest and receipt and use of the prize.

Privacy

By entering this Contest, each entrant consents, to the extent permitted by law, to the use of their name, city of residence, video image, voice, likeness and /or photograph in any related publicity or Internet posting without compensation or further notification. The Contest Sponsor is collecting personal information about entrants for the purpose of administering this Contest. Your personal information will be protected under the contest sponsor's privacy policy, which can be viewed at www.woodbineentertainment.com/corporate/privacy.html. If you wish to receive any future communications to be sent to you via email on future contests, events and promotions to be held by the Contest Sponsor please provide your consent as indicated when completing the online contest.
